Party B accept party A’s entrustment to provide international freight forwarding services to Party A. In accordance with the Civil Code of the People’s Republic of China, party A and Party B, on the basis of equality and voluntary consultation, reach the following agreement for both parties to abide by:(乙方同意接受甲方委托，向甲方提供国际货运代理服务。甲、乙双方依据《中华人民共和国民法典》，在平等自愿的基础上，经充分协商一致，达成如下协议，供协议双方共同遵守：)

• Article 1 Rights and Obligations of both Parties
• 第一条    甲乙双方的权利与义务
• 1、When Party A entrusts Party B to handle the international transportation of goods,Party A shall timely submit the correct,complete and valid shipping documents to Party B. Consignment document should have consignee name,telephone number and cargo name ,quantity, weight, destination, and other special requirements.甲方委托乙方办理国际货物运输时，甲方应及时向乙方提交正确、齐全和有效的托运单据。托运单应明确标明托运人名称、电话及联系人。托运单内容应注明货物的件数、重量、目的港、货物品名及其它特别要求。

• 2、Party A shall truthfully and completely fill in the international consignment document and timely provide all documents to Party B for customs clearance. Party A shall ensure the accuracy, authenticity and integrity of the relevant documents provided and the contents of the filled consignment, and ensure that the goods match. Otherwise, all the consequences arising therefrom shall be borne by Party A.甲方应真实、完整地填写国际货物托运书并及时提供该票货物相关的全部单证文件以便乙方办理通关，必须保证所提供的相关文件及填写的托运书内容的准确性、真实性、完整性，保证单单相符、单货相符。否则所产生的一切后果均由甲方承担。

• 3、The goods entrusted by Party A to Party B shall meet the following conditions: non-dangerous goods, non-liquid objects, non-powdered objects, non-drugs and non-food; articles not prohibited or restricted by laws and regulation. 甲方委托乙方承运的货物应满足以下条件：非危险品，非液状物体，非粉状物体，非药品，非食品；非法律法规禁止或限制携带或运输的物品。

• 4、Party A shall not entrust Party B to ship copy brand, cigarettes, drugs and other prohibited items international air transportation. Once found, Party B has the right to seize the goods and part A bear the relevant responsibilities and consequences,even it is criminal or criminal acts, etc. Party A shall guarantee the legality of the checked goods and articles, and the checked goods shall comply with the relevant provisions of the shipping country, transit country, arrival country or region. Party A shall guarantee all the goods shall not carry any dangerous goods, explosives, inflammable, drugs, arms, pornography, infringing products and other in violation of the provisions of the import and export countries (region) customs items and party B does not accept the transport of goods (to shipping companies, airlines do not accept the transportation of cargo list as the standard), And Party A shall correctly declare the name, value and quantity of the goods, Otherwise, all consequences shall be borne by Party A (such as customs seizure of goods, fine, confiscation of goods, returned freight, etc.), at the same time, Party A shall also indemnify Party B for any fines, claims, damages, costs and expenses incurred thereby.甲方不得委托乙方托运仿牌、香烟、毒品等国际航空运输规定的禁运品，一旦查出，乙方有权扣押货物，以及相关责任、后果由甲方承担；若构成刑事、犯罪等行为，亦由甲方承担。甲方应保证所托运货物物品的合法性，所托运货物应遵守起运国以及过境国、到达国或地区的法令等相关规定。甲方应保证委托乙方办理的进出口货物中不得夹带任何危险品、爆炸品、易燃品、毒品、军火、色情制品、侵权物品及其它违反进出口国（地区）海关规定的物品及乙方不受理承运的物品（以船公司、航空公司不受理运输的货的清单为标准），并且甲方应正确申报货物品名、价值及数量，否则所产生的一切后果均由甲方承担（例如海关扣货、罚款、没收货物、被退回所需运费等），同时，甲方还应赔偿乙方由此而遭受的任何罚款、索赔、损害、成本和费用。

• 5、The packaging of the goods shall be suitable for transportation requirements and the special properties of the goods. If Party A’s goods have special requirements for transportation, storage, loading and unloading, they shall be indicated on the consignment document. Otherwise, all the consequences shall be borne by Party A. If Party B suffers losses thereby, Party A shall compensate for it. At the same time, Party A shall ensure that the packaging of the goods delivered to Party B is complete and firm, and all kinds of label and storage and transportation instructions are in good condition, and shall not contain inflammable and explosive articles and articles prohibited from the state, otherwise Party B shall have the right to reject the goods.甲方的货物包装应适合于所委托的运输方式要求及货物的特殊属性。如果甲方的货物对运输、储存、装卸等有特殊要求的，应在托运单上注明。否则，所有的后果由甲方承担。若乙方因此遭受损失的，甲方应予赔偿。同时，甲方要确保交付给乙方的货物包装完整、牢固，各类标志、储运说明完好无损，其中不得夹带易燃、易爆等物品及国家禁止出口的物品，否则乙方有权拒收货物。
• 6、Party A shall bear the responsibilities arising by rejected the goods and the goods confirmed by Party A.因货物本身原因被服务商拒收，以及甲方确认试走的货物所产生的责任由甲方承担。

• 7、Party A shall not conceal, falsely report the goods and ship the contraband, and shall provide true and detailed goods information, such as packing list and packing list, to Party B, and Party B shall have the right to open the box and inspect the goods甲方不得瞒报，虚报货物，及冲违禁品，须提供真实详细的货物信息，如装箱单，清单等给乙方操作，乙方有权开箱查验货物。
• 8、Party A has the right to request Party B to provide information on the transfer and delivery of the goods, as well as to follow up and deal with abnormal problems.甲方有权要求乙方提供货物的中转、派送等信息，以及异常问题跟进处理。
• 9、Party B only connects with Party A, but does not directly connects with Party A’s customers. Party A’s account number shall not be used by others, otherwise the consequences shall be borne by Party A.乙方只对接甲方，不直接对接甲方的客户。甲方开户帐号不得借他人使用，否则后果由甲方承担。
• 10、If Party A issues the entrustment to confirm the shipment, Party B has booked the cabin space, and Party A requests to cancel the commission, Party A shall compensate Party B for the corresponding empty cabin fee.甲方发出委托确认出货，乙方已订妥舱位，甲方要求撤消委托的，甲方应赔偿乙方相应的空舱费。
• 11、After the goods arrive at the destination, Party A shall bear the cost of the consignee not receiving the goods, destroying the goods or returning them to the consignor. 货物到达目的地后，因收货人不接收货物、目的地销毁或退回发货方费用由甲方承担。

• 12、After the goods arrive at the destination, Party B shall promptly notify the consignee, who shall timely take delivery of the goods. If the consignee delays or refuses to pick up the goods, Party B shall agree to release the goods after the consignee or Party A confirms the payment, otherwise Party B shall retain a lien on the goods.货物运输到达目的地后，乙方应及时通知收货人，收货人应当及时提货。收货人逾期提货或拒绝提货而产生的额外费用，待收货人或甲方确认付款后，乙方才同意放货，否则乙方保留对货物的留置权。
• 13、For the goods in transit, the goods damage, loss, deterioration, pollution, delay, etc., party A shall first pay the freight, and party a shall not exercise any offset or deduct or do any nature of the freight, and then according to the agreement and relevant laws and regulations.对于货物在运输途中，因故导致货物受损、遗失、变质、污染、迟滞等情况发生，甲方首先应付清运费，且甲方不得行使任何冲抵或扣减或做任何性质的拒付运费的行为，然后再按双方约定及相关法律法规规定处理所发生的问题。

• Article 2. Payment of fees

  1、 Our shipping fee is calculated by the size and weight you offer. (Volume weight=longwideheight cm /5000, it is centimeter. If volume weight bigger than real weight. we will charge by volume weight.) If your parcel arrived our warehouse , and our worker measure result show different size (Size and weight may different , because it may out of shape or your supplier offer wrong information), we will calculate shipping fee by the size and weigh from our warehouse system. So the shipping fee may be different from the one what we quoted to you earlier. (我们的运费是根据你方提供的尺寸和重量计算的。体积重量=长宽高cm/5000，单位为厘米。如果体积重量大于实际重量，我们将按体积重量收费。）如果您的包裹到达我们的仓库，我们的工人测量结果显示不同的尺寸（尺寸和重量可能不同，因为在从您的供应商运送到我们的仓库的过程中可能会变形），我们将根据仓库系统的尺寸和重量计算运费。因此，运费可能与我们之前向您报价的不同。)
• 2.The above price not cover Remote Address Surcharge, it is only delivery fee to main city. Sometime, we can not check remote address when we quote you, remote address surcharge will be charge while your cargo is delivery. 以上价格不包括远程地址附加费，仅为到主要城市的运费。有时，当我们向您报价时，我们无法检查远程地址，在您的货物交付时将收取远程地址附加费。
• 3. Please double check your destination address, there will be extral charge if you change destination address, maybe your local courier not tell you how much will be charge. 请仔细检查您的目的地地址，如果您更改目的地地址将收取额外费用，也许您当地的快递员没有告诉您要收取多少费用。
• 4、In order to ensure the shipping time, after Party A provides the document, Party B shall operate the goods normally. If Party A needs to stop operate, it shall explain to Party B in advance. Party A shall be obliged to pay the service fee owed to Party B at the agreed time, and shall not delay, refuse to pay or directly deduct the claim from the owed service fee on the grounds that the claim has not been ended. If Party A fails to make the payment on time according to the contract, it shall pay Party B a penalty of 0.005% of the unpaid part for each day overdue. If Party B takes legal actions to recover the overdue arrears from Party A (including but not limited to litigation and arbitration), Party A shall indemnify Party B for the legal expenses (including but not limited to legal costs, arbitration fees, preservation fees, notary fees and attorney fees).为了保证时效，甲方提供资料后，乙方将正常操作货物，甲方如需款到出货或暂扣，需提前向乙方说明。甲方有义务按照约定时间支付所欠乙方的服务费用，不得以理赔尚未结束为由拖延支付、拒绝支付或擅自从所欠服务费用中直接扣除理赔款。甲方如未按照合约协定时间准时付款，每逾期一天，其应向乙方支付未付部分万分之五的违约金。若乙方以法律行动（包括但不限于诉讼与仲裁）向甲方追索该逾期欠款的，甲方应赔偿乙方因该追索行为而支出的法律费用（包括但不限于诉讼费、仲裁费、保全费、公证费、律师费）。
• 5、Party B shall not be liable for the delay in delivery caused by Party A’s delayed payment. .因甲方付款不及时造成出货延误，乙方不承担任何责任.
• 6、If Part A shipping by DDU(not cover tax) Shipping line, according to the quotation or supplementary agreement to collect the tariff deposit, according to the tariff bill to implement more refund and less compensation走不包税DDU渠道，按报价或者补充协议收取关税押金，依照关税账单实行多退少补。
• 7、If the recipient is unable to clear the customs or fails to pay the local fees (including but not limited to the return fee, customs duty, customs fine, change of address fee incurred by the destination, etc.), the above fees shall be paid by Party A, and the bill shall be effectively notified to Party A within half a year.快递件如因收件人没有能力清关或者没有支付当地产生的费用（包括但不限于目的地产生的退件费、关税、海关罚金、更改地址费等），上述费用均由甲方支付，账单半年内通知甲方有效。

• Article 3 Compensation Standards 第三条 赔偿标准

1.If you did not buy insurance, we will compensation as below:

(1) Air / Truck / Express: If the whole parcel lose during frontend (From China to destination wearhouse/ before UPS picked up) the maximum compensation is 5$ /kg （ not more then cargo value and no more than two time shipping fee） and shipping freight is not refunded. If parcel lose during afterend ,UPS pick up and have tracking NO., then will compensation according to UPS policy , total compensation no more than 100$) ; 空运/卡车/快递：如果包裹在前端（从中国到目的地海关）丢失，最高赔偿额为5美元/公斤(不超货值不超2倍运费)，运费不予退还。（如果包裹在快递过程中丢失，UPS提货并有跟踪号，则将根据UPS政策进行赔偿，总赔偿额不超过100美元）；
(2) By sea/ Railway: If the whole parcel lost during frontend (From China to destination wearhouse before UPS picked up) the maximum compensation is 2.5$/ kg （ not more then cargo value and no more than two time shipping fee）and the freight is not refunded. If parcel lose during afterend ,UPS pick up and have tracking NO., then will compensation according to UPS policy , total compensation no more than 100$) ; 海运/铁路：如果包裹在前端丢失（从中国到目的地海关），最高赔偿额为2.5美元/公斤(不超货值不超2倍运费)，运费不予退还！（如果包裹在快递过程中丢失，UPS提货并有跟踪号，则将根据UPS政策进行赔偿，总赔偿额不超过100美元）；
(3) Note:
A: DDP service , there is no tracking information from China to destination customs , after pass customs , there will be local delivery company pick up , then it will have tracking information. So our compensation have 2 parts. One is frontend (China to destination wearhouse no tracking information) , the other is after end (Destination country delivery , like UPS/DPD delivery) 在我们从您那里收到货物后，如果货物没有成功交付给收货人，我们将安排发货给收货人，以下是补偿：（如果你通过DDP服务发送，没有从中国到目的地海关的跟踪信息，通过海关后，会有当地快递公司提货，然后它会有跟踪信息。所以我们的补偿有两个部分。一个是前端（中国到目地海关没有跟踪信息），另一种是尾端（目的国派送，如UPS/DPD派送）
B: Total compensation not more then cargo value which write on document and no more than two time shipping fee. Shipping fee shall not be refunded (due to the actual freight has been generated). If the compensation for loss has been calculated, no additional compensation for delay shall be counted. 赔偿金额不超货值不超2倍运费，不退运费（因实际运费已经产生).如已按丢失赔偿，不另外算延误赔偿。

2.If buy insurance, the compensation as below:

Our company can help you buy insurance , or you can buy insurance yourself.
Different country , different products , and different shipping way , insurance rate is different , normally is 0.5% , Min 30$/bill. Normally there is 10% deductible amounts, which means that if there is 10% damage or loss to the goods, it is within the deductible range，no compensation.
(1) Insurance fee=cargo value 0.5%, at least 30$/bill.
If your cargo total value is 2000$, then insurance fee=2000$0.005=10$, but Min is 30$/bill , so insurance fee is 30$. If whole cargo lost,then insurance company will compensate 20000.9 =1800$ (10% deductible amounts)
If total value is 20000$ , then insurance fee is 20000$0.005=100$. If the whole parcel lost , then insurance company will compensate 20000$0.9=18000$ (10% deductible amounts)
通常情况下，保险费为（总价值0.05%，至少30美元/票。如果您的货物总价值为2000美元，则保险费=2000美元0.005=10美元，但最小30美元/票，则保险费用为30美元。如果包裹丢失，则保险公司将赔偿2000美元0.9=1800$(10%的免赔额). 如果总价值为20000美元，则保险费为20000美元0.005=100美元。如果包裹丢失，则保险公司将赔偿20000美元*0.9=18000$(10%的免赔额)。
(2)Note：Proof of non receipt must be provided. Fragile cargoes are not compensation. (In addition, it is recommended to purchase insurance for high value cargoes). Insurance not guarantee such as customs inspection/ flight delay / ship departure delay / train delay / customs clearance delay / congestion,etc.必须提供未收到的证明。易碎货物不是补偿。（此外，建议为高价值货物购买保险）。但保险不保证航班延误/船只出发延误/火车延误/海关延误/通行证延误/海关检查/拥堵等。

3. No compensation situation

（1） Defective package,cargo not in good package. All the cargo package must reach transportation standards, or no compensation for damage, partial loss or delay of the package 由于甲方所托运货物的包装存在缺陷而造成货物受损的，所有产品需要符合运输条款，否则损坏，部分丢失或者延误，不赔偿
（2）The outer package is intact and the inner goods are short-damaged or deteriorated damage 甲方所托运货物的外包装完整无损而内装货物短损、变质的
（3）No compensation for not standard package. like “Make in China” Label in carton , FBA bar code for Amazon warehouse . 非正规包装不赔偿，比如盒子上的make in china , 和亚马逊仓库的条形码
（4）Damage of fragile items (Fragile items only guarantee loss not guarantee damage). 易碎物品破损不受理赔偿, 易碎品保丢不保损。
（5） If Part A have the following situation: concealment, failure to report, inconsistent declaration, infringement, or product related certification unqualified and product itself problems caused customs Detention, Party B shall not bear any responsibility or compensation, and reserve to investigate the loss caused to the sender.如因甲方瞒报、漏报、申报不符、侵权、或产品相关认证不合格等产品本身问题造成扣关，乙方不承担任何责任和赔偿，并保留追究发件人因此给乙方造成的损失。
（6）All the products must meet the buyer country qualifications and quality requirements. If any goods are detained or destroyed due to unqualified products, we don’t responsible for shipping and detention fees, warehouse rental and destruction fees, and no compensation. 所有货物要符合当地质量要求，如果是因为不符合要求产生的扣留损坏都不赔偿，我公司不负责由此产生的任何损失，比如扣留费用，仓租，销毁费等。
（7） Please double check your destination address , there will be extra charge if you change destination address, maybe your local courier not tell you how much will be charge. 目的地地址更改要加钱，请确认清楚目的地
（8）If the cargoes are returned due to the requirements of the receiver or sender or the wrong address cannot be delivered, our company will only accept the cargoes to be returned to our warehouse and keep the cargoes for 7 days for free, maximum of one month. If the cargoes are overdue, they will be discarded. After discarding, we will not accept any request and claim. In order to avoid unnecessary losses, please contact us before the time of abandonment.如果货物因收发货人的要求而退回，或者在交付过程中无法交付错误的地址，我们公司将只接受退回我们仓库的货物，并免费保存货物7天，最长一个月。如果货物逾期，就会被丢弃。丢弃后，我们将不接受任何请求和索赔。为了避免不必要的损失，请在放弃之前与我们联系
（9）If the delivery is abnormal, you must apply for investigation within 15 days (subject to the time of the last information updated on the official website). Otherwise, we will only accept inquiry checking about cargo and not accept claims for compensation. If the Internet is not delivery successfully: Air / Express: the application for investigation must be submitted within 20 days after delivery. Sea / Railway: the application for investigation must be submitted within 60 days after delivery, and our company will not accept it if it is overdue. 如果发货异常，您必须在15天内（以官方网站上次更新信息的时间为准）申请调查。否则，我们只接受有关货物的查询，不接受索赔。如果Internet未成功送达：航空/快递：调查申请必须在交付后20天内提交卡车/航空/铁路：调查申请必须在交付后60天内提交，逾期我公司不予受理。
（10） Disclaimer: Including but not limited to war, explosion, natural disasters, epidemic reason city closed, strike, political factors, bad weather (such as snowstorm) and other force majeure factors lead to goods damage, loss, delay, partyB does not bear any liability for damage, delay, also do not return the freight (due to the actual freight has been)免责声明：包括但不限于战争，爆乱，自然灾害，疫情原因封城，罢工，政治因素，恶劣天气（如暴风雪）等不可抗力因素导致货物损坏、丢失、延误，乙方不承担任何货损、延误赔偿责任，也不退还运费（因实际运费已经产生）。
（11）No compensation for customs inspection/ flight delay / ship departure delay / train delay / customs clearance delay / congestion,etc.对于运输过程中因航空失误和清关延误造成的整体时间延误，如航班延误/离船延误/火车延误/清关延误/海关检查/目的地提货拥堵等，我们将不予赔偿。
（12） No evidence,no compensation. Please double check the status and carton quantity before signing. If damage or lose, please write “lost or damaged goods(how many carton you get/how many loss/how it is damaged/)” on receipt, and take clear photo and video as proof, It is very very important. That is evidence to show insurance company. If no evidence, will not get any compensation. If the goods are damaged or lost, it must be submitted the claim within 3 days from the date of signing. Please don’t overtime. If the customer refuses to sign it due to damage and lose, or other reasons, then the customer shall be responsible for the second time delivery fee. Please understand. 当收件人签收货物时，他/她必须在签收前检查货物的状态和数量。如果发生损坏或零件丢失，收件人的收据必须在签字前注明“货物丢失或损坏”字样（保险索赔依据之一，如果没有此类字样和签名，则视为货物正确，不能索赔，后果自负！！）。 如果在签字时货物损坏，您必须拍摄照片和小视频保存证据并发送到我们公司（这是保险理赔的重要证据。如果没有证据可以提供，理赔的后果可能是不可能的，请注意）。我们公司将帮助收件人提交索赔。如果货物损坏或丢失，必须在签字之日起3天内提交。请不要超时。如果客户因损坏、与客户失去联系或其他客户原因拒绝接收，并在与客户确认要求后再次发送，由此产生的次要费用由客户负责。请注意！
（13）Part B can accept and arrange shipping for sensitive cargo by DDP service , but no compensation for customs seizure of goods, fine, confiscation of goods, returned freight, etc.(Sensitive cargo cover but not only : Liquid, powder, copy brand, ect, )乙方可以接受敏感货走DDP专线，但是如遇海关扣关，查验，罚款，销毁，退回，乙方不赔偿。(敏感货包含但不仅限于：液体，粉末，仿牌等)

• Article 4 Dispute Settlement
• 第四条   争议解决
  1、For any reason of force majeure, including but not limited to, war, storm, bad weather, airport closure, customs strikes, aircraft failure, crash, earthquake, flood, fire, debris flow and natural or man-made serious disasters or other unforeseeable, unavoidable and insurmountable events that cause either party fails to perform or delay the performance of this agreement, the party affected by the force majeure shall be exempted within the scope of the force majeur. 因不可抗力的任何原因包括但不限于战争、暴乱、恶劣天气、机场关闭、海关罢工、飞机故障、坠机、地震、水灾、火灾、泥石流及自然或人为的严重灾害或其它不可预见、不可避免、不能克服的事件导致协议任何一方无法履行、迟延履行本协议的，受不可抗力影响的一方在不可抗力影响的范围内免责。
• 2、All disputes related to this Agreement shall be solved through friendly negotiation, If not shall be solved by the people’s court where Party B is located.与本协议有关的一切争议，协议各方先通过友好协商方式解决；如协商不成，则通过乙方所在地人民法院诉讼解决。

• Article 5 Effectiveness and breach of the Agreement
• 第五条    协议的生效和违约
  1. After this Agreement comes into force, if either party violates the provisions of this Agreement, the breaching party shall bear all the losses including attorney’s fees caused by the breach.本协议生效后，任何一方违反本协议规定，违约方应承担违约而造成的包括律师费在内的全部损失。
  2. Our company reserves the right of final interpretation of any of the above terms. If the customer Part A finished payment, it means that the customer has fully understood our terms and prices. 乙方保留对条款的最终解释权，甲方一旦付款说明已经了解并同意以上条款.
